Terms of Service

These draft terms describe how AzLogic works with website visitors, prospective clients, and clients using our software consulting, automation, AI, and custom development services.

1. Acceptance of Terms

These Terms of Service govern your access to and use of the AzLogic LLC website, contact forms, consultation scheduling, and any services, software, automations, websites, dashboards, portals, or related deliverables we provide unless a separate signed agreement says otherwise.

By using the website, submitting an inquiry, scheduling a call, or engaging AzLogic for services, you agree to these Terms. If you do not agree, do not use the website or services.

2. Services and Project Documents

AzLogic provides custom software development, business automation, lead capture, customer portals, dashboards, integrations, practical AI tools, and related consulting services for owner-led and local businesses.

Specific project scope, timing, pricing, payment milestones, acceptance criteria, support, and ownership terms should be described in a proposal, statement of work, invoice, or other written agreement. If there is a conflict between these Terms and a signed project document, the signed project document controls for that project.

3. Client Responsibilities

  • Provide accurate business, technical, content, credential, and workflow information needed to perform the services.
  • Obtain any permissions needed for materials, data, systems, third-party tools, customer information, or accounts you ask us to use.
  • Review deliverables, provide feedback, and approve decisions within reasonable timeframes.
  • Use delivered systems lawfully and in compliance with your own industry obligations, customer contracts, privacy notices, and internal policies.

4. Fees, Payment, and Scheduling

Fees, deposits, milestone payments, recurring support, and payment due dates will be set out in the applicable proposal, invoice, or written agreement. Unless otherwise stated in writing, amounts are due in U.S. dollars.

AzLogic may pause work, delivery, deployment, or support if invoices are overdue, required access is unavailable, or approvals are delayed. Scheduled consultations may be rescheduled when needed.

5. Intellectual Property

Each party keeps ownership of its pre-existing materials, tools, templates, know-how, code, data, documentation, trademarks, and other intellectual property.

Ownership or license rights in custom deliverables will be handled as stated in the applicable project document. If no project document addresses ownership, AzLogic grants you a limited, non-exclusive license to use the delivered work for your internal business purposes after all related fees are paid, while AzLogic retains ownership of reusable tools, libraries, methods, concepts, and background technology.

6. Third-Party Services

Projects may rely on third-party platforms such as hosting providers, CRMs, payment processors, email services, SMS providers, analytics tools, AI model providers, databases, scheduling services, or other software vendors. Those services are governed by their own terms and privacy practices.

AzLogic is not responsible for outages, pricing changes, feature changes, data loss, security events, policy changes, or other issues caused by third-party services outside our reasonable control.

7. AI and Automation

When AI-enabled features or automations are included, outputs may be incomplete, inaccurate, delayed, or require human review. You are responsible for deciding where automation is appropriate and for reviewing outputs before using them in decisions that affect customers, employees, finances, healthcare, legal rights, safety, or other sensitive matters.

AzLogic does not promise that AI or automation will replace human judgment, produce a particular business outcome, or be error-free.

8. Acceptable Use

  • Do not use the website, services, or deliverables for unlawful, harmful, deceptive, infringing, abusive, or unauthorized purposes.
  • Do not attempt to reverse engineer, disrupt, probe, overload, bypass security controls, or gain unauthorized access to any system.
  • Do not submit malicious code, sensitive data you are not authorized to share, or content that violates the rights of others.

9. Confidentiality and Data

During a project, each party may receive non-public business, technical, financial, customer, or operational information from the other. Each party should use reasonable care to protect confidential information and use it only for the project or relationship.

Personal information handled through the website is addressed in the AzLogic Privacy Policy. Project-specific data handling, security, compliance, and retention requirements should be documented separately when needed.

10. No Professional Advice

AzLogic provides software, automation, and technology consulting. We do not provide legal, tax, financial, medical, insurance, or regulated professional advice. You should consult qualified professionals for those matters.

11. Disclaimers

The website and services are provided on an as-is and as-available basis except as expressly stated in a signed agreement. To the maximum extent permitted by law, AzLogic disclaims implied warranties, including warranties of merchantability, fitness for a particular purpose, non-infringement, uninterrupted operation, and error-free performance.

12. Limitation of Liability

To the maximum extent permitted by law, AzLogic will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, lost goodwill, or business interruption arising from the website, services, or deliverables.

Unless a signed agreement states otherwise, AzLogic's total liability for any claim related to the services or deliverables will not exceed the fees paid to AzLogic for the specific project or service giving rise to the claim during the three months before the claim arose.

13. Changes to These Terms

AzLogic may update these Terms from time to time by posting a revised version on this page and updating the Last updated date. Changes apply prospectively unless a signed agreement says otherwise.

14. Governing Law and Contact

These Terms are governed by the laws of the State of Maryland, without regard to conflict-of-law principles, unless a signed agreement states otherwise.
