End User License Agreement

This draft EULA covers AzLogic software deliverables, portals, dashboards, automations, integrations, and AI-enabled tools made available to clients or authorized users.

1. Acceptance of Agreement

This End User License Agreement governs your access to and use of software, applications, portals, dashboards, automations, integrations, AI-enabled tools, scripts, documentation, updates, and related materials made available by AzLogic LLC unless a separate signed agreement says otherwise.

By accessing, installing, or using an AzLogic application or software deliverable, you agree to this EULA. If you do not agree, do not access, install, or use the software.

2. License Grant

Subject to your compliance with this EULA and payment of applicable fees, AzLogic grants you a limited, revocable, non-exclusive, non-transferable license to use the software for your internal business purposes and only as permitted by the applicable proposal, statement of work, subscription, order, documentation, or written agreement.

This license does not transfer ownership of the software, source code, reusable tools, frameworks, templates, methods, know-how, or other AzLogic intellectual property unless a signed agreement expressly says so.

3. Restrictions

  • Do not sell, rent, lease, sublicense, distribute, host, outsource, or commercially exploit the software for third parties unless AzLogic agrees in writing.
  • Do not copy, modify, adapt, translate, create derivative works from, reverse engineer, decompile, disassemble, or attempt to extract source code except to the extent allowed by law or a signed agreement.
  • Do not remove or alter copyright, trademark, proprietary rights, security, attribution, or license notices.
  • Do not use the software to violate law, infringe rights, send unlawful messages, process unauthorized data, or interfere with systems.
  • Do not bypass license limits, access controls, authentication, usage limits, billing controls, security features, or technical restrictions.

4. Authorized Users and Accounts

You are responsible for users who access the software through your accounts, credentials, devices, or systems. Keep credentials secure and notify AzLogic promptly if you suspect unauthorized access.

Access may be limited to the number of users, business units, devices, environments, domains, or other limits described in the applicable project document.

5. Client Data and Privacy

You retain rights to data, content, and materials you provide for use with the software. You are responsible for ensuring you have the rights, notices, consents, and legal basis needed to provide and process that data.

AzLogic's handling of personal information collected through the website is described in the Privacy Policy. Project-specific data processing, security, backup, retention, and deletion requirements should be documented separately when needed.

6. Third-Party Components and Services

The software may include, connect to, or depend on third-party services, open-source components, APIs, hosting, databases, payment processors, AI model providers, communication tools, or other platforms. Those components and services may be subject to separate terms, licenses, fees, and availability.

AzLogic is not responsible for third-party outages, security incidents, pricing changes, policy changes, model behavior, API changes, or feature removals outside our reasonable control.

7. AI-Enabled Features

AI-enabled features may generate inaccurate, incomplete, unexpected, biased, or unsuitable outputs. You are responsible for reviewing AI outputs and deciding whether they are appropriate for your business use.

Do not use AI outputs as the sole basis for decisions involving legal rights, healthcare, employment, credit, housing, insurance, safety, finances, or similarly sensitive matters unless you have appropriate human review and professional oversight.

8. Updates and Maintenance

AzLogic may provide updates, patches, fixes, or changes to the software, but has no obligation to do so unless required by a signed agreement. Updates may add, change, suspend, or remove features.

Support, maintenance, uptime commitments, backups, monitoring, and service levels apply only if described in a written support plan or project document.

9. Feedback

If you provide ideas, suggestions, issue reports, or other feedback, AzLogic may use that feedback without restriction or obligation to you, provided we do not disclose your confidential information in violation of a written agreement.

10. Termination

This EULA remains in effect until terminated. Your license automatically terminates if you breach this EULA, fail to pay required fees, exceed permitted use, or lose rights under the applicable project document.

Upon termination, you must stop using the software and, where applicable, delete or return copies in your possession. Sections that by their nature should survive termination will survive, including ownership, restrictions, disclaimers, limitation of liability, confidentiality, and governing law.

11. Disclaimer of Warranty

The software is provided as-is and as-available except as expressly stated in a signed agreement. To the maximum extent permitted by law, AzLogic disclaims all warranties, express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, non-infringement, uninterrupted operation, accuracy, and error-free performance.

12. Limitation of Liability

To the maximum extent permitted by law, AzLogic will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, lost goodwill, business interruption, or costs of substitute services related to the software.

Unless a signed agreement states otherwise, AzLogic's total liability for claims related to the software will not exceed the fees paid to AzLogic for the specific software or service giving rise to the claim during the three months before the claim arose.

13. Export and Legal Compliance

You are responsible for using the software in compliance with applicable laws, including export control, sanctions, privacy, communications, consumer protection, industry, employment, and data protection laws that apply to your business and users.

14. Governing Law and Contact

This EULA is governed by the laws of the State of Maryland, without regard to conflict-of-law principles, unless a signed agreement states otherwise.
